These Terms and Conditions govern access to and use of the Proxil website, services, products, applications, and related digital experiences.

Last Updated: October 8, 2026Version 1.0

Important Notice

These Terms are intended to establish general rules governing the use of Proxil Services. Specific projects, commercial engagements, software licenses, and other professional relationships may be governed by additional written agreements. Where applicable, those agreements will contain project-specific terms relating to scope, ownership, fees, confidentiality, warranties, liability, and delivery.

Terms of Use

Please read these Terms carefully before using the Proxil Services. By continuing to access or use the Services, you agree to the terms described below, subject to applicable law.

01

Acceptance of Terms

By accessing, browsing, or using the Proxil website, services, products, applications, or related digital experiences (collectively, the “Services”), you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions (“Terms”).

If you do not agree with these Terms, you should not access or use the Services. These Terms apply to all visitors, users, clients, customers, and other persons who access or use the Services.

02

Definitions

“Proxil”, “we”, “us”, or “our” refers to the Proxil brand and the entity or entities operating the applicable Services.

“User”, “you”, or “your” refers to any person accessing or using the Services.

“Client” refers to a person, business, organization, or other entity that engages Proxil for development, design, consulting, software, AI, or other professional services.

“Content” means text, images, graphics, software, code, designs, data, information, materials, and other content made available through or submitted to the Services.

03

Eligibility

You must have the legal capacity to enter into a binding agreement under applicable law to use the Services.

If you access or use the Services on behalf of an organization, company, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.

You are responsible for ensuring that your use of the Services complies with all laws, regulations, and contractual obligations applicable to you.

04

Website and Services

Proxil provides software development, application development, AI and machine learning solutions, web and software development, MVP and product development, custom software, UI/UX and product design, and related technology services.

The exact scope, deliverables, timelines, technical requirements, pricing, ownership arrangements, and other commercial terms of a particular project may be separately agreed upon in a proposal, statement of work, order, contract, or other written agreement.

Information presented on the website is provided for general informational purposes and does not constitute a binding offer unless expressly stated otherwise.

05

Service Engagements

Professional services provided by Proxil may be subject to a separate written agreement with the applicable Client. In the event of a conflict between these Terms and a separately executed agreement, the specific written agreement will control to the extent of the conflict.

Proxil may decline a project, request, or engagement at its discretion, including where the proposed work presents legal, ethical, technical, security, operational, or reputational concerns.

06

Project Scope and Changes

Project scope, features, milestones, deliverables, dependencies, and timelines should be agreed upon before development begins.

Requests that materially change the agreed scope may require additional fees, revised timelines, technical changes, or a separate statement of work.

Proxil is not responsible for delays caused by incomplete requirements, delayed approvals, unavailable Client resources, third-party dependencies, or circumstances outside Proxil’s reasonable control.

07

Fees, Payments and Taxes

Fees for professional services will be communicated through the applicable proposal, quotation, invoice, contract, or other written commercial arrangement.

Unless otherwise agreed in writing, payments are due according to the payment schedule communicated to the Client.

Late or unpaid amounts may result in suspension of work, delayed delivery, or termination of an engagement, subject to the applicable agreement and law.

The Client is responsible for applicable taxes, duties, levies, bank charges, or other governmental charges associated with its purchase of Services, except taxes imposed directly on Proxil’s income.

08

Intellectual Property

Unless otherwise agreed in writing, Proxil retains ownership of its pre-existing software, frameworks, libraries, reusable components, methodologies, tools, know-how, templates, processes, and general technical knowledge.

Ownership or licensing of project-specific deliverables will be determined by the applicable project agreement, proposal, statement of work, or other written arrangement.

Nothing in these Terms automatically transfers ownership of Proxil’s pre-existing intellectual property unless expressly agreed in writing.

Proxil’s trademarks, branding, website design, logos, and other proprietary materials may not be copied, modified, distributed, or used without appropriate authorization.

09

Client Materials and Content

The Client represents and warrants that it has all necessary rights, permissions, licenses, and authorizations to provide materials, data, content, trademarks, software, documents, or other resources supplied to Proxil.

The Client remains responsible for the legality, accuracy, and appropriateness of materials supplied by the Client.

The Client grants Proxil the limited rights necessary to use Client-provided materials solely for performing the agreed Services.

10

Third-Party Services

The Services may depend upon or integrate with third-party services, platforms, APIs, hosting providers, payment processors, cloud infrastructure, analytics providers, AI providers, databases, or other external systems.

Proxil does not control third-party services and is not responsible for third-party outages, policy changes, pricing changes, security incidents, service limitations, data practices, or discontinuation.

The use of third-party services may be subject to additional terms and privacy policies imposed by those providers.

11

AI and Automated Output

Certain Proxil Services may use artificial intelligence, machine learning, large language models, automation, or other computational systems.

AI-generated or automated output may contain inaccuracies, omissions, unexpected results, or errors. Such output should be reviewed by a qualified human before being relied upon for consequential decisions.

Proxil does not represent that AI-generated output will always be accurate, complete, original, suitable for a particular purpose, or free from errors.

Unless expressly agreed otherwise, AI-powered Services are not intended to provide legal, medical, financial, regulatory, or other professional advice.

12

User Responsibilities

You are responsible for maintaining the confidentiality of any credentials, access information, accounts, or systems under your control.

You agree to provide accurate information where information is required to use or receive the Services.

You must promptly notify Proxil if you become aware of unauthorized access, misuse, security concerns, or other activity that may affect the Services.

You are responsible for maintaining appropriate backups of information and materials that you submit to or use with the Services unless a separate written agreement states otherwise.

13

Prohibited Activities

You must not use the Services to violate applicable law, infringe intellectual property rights, facilitate fraud, distribute malicious software, interfere with systems, attempt unauthorized access, or harm other users or third parties.

You must not reverse engineer, decompile, disassemble, scrape, copy, reproduce, resell, redistribute, or commercially exploit Proxil systems or proprietary materials except where expressly permitted by law or written authorization.

You must not use the Services to create or distribute content intended to facilitate illegal, abusive, fraudulent, or harmful activities.

14

Availability and Modifications

Proxil may modify, update, suspend, restrict, or discontinue any portion of the Services at any time where reasonably necessary for maintenance, security, technical improvements, business operations, legal compliance, or other legitimate purposes.

We do not guarantee that the website or Services will always be available, uninterrupted, error-free, secure, or compatible with every device, browser, system, or third-party service.

15

Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Services are provided on an “as is” and “as available” basis.

Proxil disclaims warranties and representations not expressly stated in a written agreement, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, availability, accuracy, and uninterrupted operation, to the extent such disclaimers are permitted by law.

No information provided through the website should be interpreted as a guarantee of a particular business, financial, technical, or commercial outcome.

16

Limitation of Liability

To the maximum extent permitted by applicable law, Proxil will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, loss of profits, loss of revenue, loss of business opportunities, loss of goodwill, loss of data, or business interruption arising from or relating to the Services.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under applicable law.

Where liability limitations are permitted, the applicable limitation may also be governed by the specific written agreement entered into for a particular project or Service.

17

Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless Proxil and its applicable directors, employees, contractors, representatives, and service providers from claims, losses, liabilities, damages, costs, and reasonable expenses arising from your unlawful use of the Services, violation of these Terms, infringement of third-party rights, or materials supplied by you.

This provision does not require indemnification to the extent that a claim results from Proxil’s own conduct where such indemnification would not be permitted under applicable law.

18

Confidentiality

Where Proxil and a Client exchange confidential information in connection with a project, the parties may enter into a separate confidentiality or non-disclosure agreement.

Unless otherwise agreed in writing, each party should use reasonable care to protect confidential information received from the other party and should use such information only for legitimate purposes connected with the applicable engagement.

Confidentiality obligations do not apply to information that is publicly available, independently developed, lawfully obtained from another source, or required to be disclosed by law or lawful authority.

19

Termination and Suspension

Proxil may suspend or terminate access to the Services where reasonably necessary due to a violation of these Terms, security concerns, unlawful activity, non-payment, misuse, or other legitimate operational or legal reasons.

A Client engagement may be terminated according to the applicable project agreement or commercial terms.

Termination does not affect rights, obligations, payment responsibilities, intellectual property provisions, confidentiality obligations, disclaimers, limitations of liability, or other provisions that by their nature should survive termination.

20

Governing Law and Dispute Resolution

These Terms shall be interpreted in accordance with the laws applicable to the relevant Proxil operating entity, subject to mandatory provisions of applicable law.

The parties should first attempt in good faith to resolve disputes through direct communication and reasonable discussion.

Where a dispute cannot be resolved informally, the parties may pursue remedies available under applicable law and through the courts, tribunals, arbitration mechanisms, or other dispute-resolution processes having appropriate jurisdiction.

21

Changes to These Terms

Proxil may update these Terms from time to time to reflect changes in the Services, technology, business practices, legal requirements, or other operational considerations.

The updated version will become effective when published on the website unless a different effective date is stated.

Your continued use of the Services after an updated version becomes effective constitutes acceptance of the revised Terms to the extent permitted by applicable law.

22

Severability and Waiver

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision will be interpreted or modified to the minimum extent necessary to make it enforceable where legally permitted.

The remaining provisions will continue in full force and effect.

A failure by Proxil to enforce any provision of these Terms does not constitute a waiver of the right to enforce that provision in the future.

23

Entire Agreement

These Terms, together with any applicable privacy policy, project agreement, proposal, statement of work, order, or other written agreement expressly incorporated by reference, constitute the applicable understanding between you and Proxil concerning the relevant Services.

Any additional or conflicting terms proposed by a user or Client will not apply unless expressly accepted by Proxil in writing.

24

Final Note

Nothing in these Terms is intended to exclude, restrict, or replace any right, remedy, protection, or obligation that cannot lawfully be excluded, restricted, or replaced under applicable law.
